Another answer is to go to internet options the advanced tab, scroll down to security options (that's security options down near the bottom of the scroll in the advanced tab...not the security tab!)...

Ummm...main button on the icq panel choose...
Ummm...main button on the icq panel choose preferences...in the window that opens halfway down the menu on the left is sounds and alerts...click that and in the main windows uncheck the play sounds....
