I read the rules like this:

I see a 150x75 banner (which seems to break the rules)
and 75 characters of text (since you have a banner, the rule states 40)
and your text is above the button (the rule says under)
sooooo..... if it were me, I would have to say that it is against the rules on 3 counts.
